Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, products, and services (collectively, the "Service") provided by WholesaleBridge LLC ("WholesaleBridge," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Pre-Launch Status

WholesaleBridge is currently in a pre-launch phase. By joining our waitlist or participating as a design partner, you acknowledge that:

• The Service is under active development and may change substantially before general availability.
• Waitlist registration does not guarantee access to the Service, any specific features, or any particular timeline for availability.
• Pre-launch features, pricing, and functionality are subject to change without notice.
• Design partner access is provided at our discretion and may be revoked at any time.

2. Description of Service

WholesaleBridge is a cloud-based data transformation and synchronization platform. The Service allows users to upload shipping fulfillment data (via CSV or XML files), map and normalize that data, and transmit it to third-party wholesale marketplace APIs (such as Faire) on behalf of and at the direction of the user.

WholesaleBridge acts as a data processing agent executing instructions provided by you. All data submitted to third-party APIs is provided by you, configured by you, and authorized by you through your own third-party API credentials.

3. User Responsibilities

By using the Service, you represent and agree that:

• You are authorized to upload the shipping data you provide and to use the third-party API credentials you configure.
• You are solely responsible for the accuracy, completeness, and legality of all data you upload to the Service.
• You are solely responsible for compliance with any third-party platform terms of service (including Faire's terms) when using our Service to transmit data to those platforms.
• Cost adjustment configurations (flat fees, percentage markups, override columns) reflect your business decisions. You are solely responsible for the financial accuracy of the values transmitted to third-party platforms.
• You will maintain the confidentiality of your account credentials and API keys.
• You will not use the Service for any unlawful purpose or in violation of these Terms.

4. Third-Party Services

The Service integrates with third-party platforms, including but not limited to Faire, AfterShip, and various shipping carriers. You acknowledge that:

• WholesaleBridge is an independent third-party tool and is not affiliated with, endorsed by, or partnered with Faire, AfterShip, or any shipping carrier unless explicitly stated.
• Third-party services may change their APIs, terms, pricing, or availability at any time. We are not responsible for disruptions caused by third-party service changes.
• Your use of third-party services through WholesaleBridge is subject to the respective terms of service of those third parties.
• All trademarks, service marks, and trade names referenced on this site are the property of their respective owners.

5. Data Processing

When you use the Service to process shipping data:

• You are the Data Controller. WholesaleBridge acts as a Data Processor, processing data solely on your behalf and at your direction.
• We process your data only to provide the synchronization service you have requested.
• We do not use your data for purposes unrelated to providing the Service without your consent.
• Our data handling practices are described in our Privacy Policy.

6. Intellectual Property

The Service, including all software, code, architecture, documentation, visual design, and branding, is owned by WholesaleBridge LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works based on the Service.

You retain all rights to the data you upload. We claim no ownership over your shipping data, CSV files, API credentials, or business information.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• WHOLESALEBRIDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
• WHOLESALEBRIDGE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO WHOLESALEBRIDGE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
• WHOLESALEBRIDGE IS NOT LIABLE FOR ERRORS IN DATA TRANSFORMATION, INCLUDING BUT NOT LIMITED TO COST CALCULATIONS, CARRIER NORMALIZATION, OR TRACKING NUMBER FORMATTING, THAT RESULT FROM DATA YOU HAVE PROVIDED OR CONFIGURATIONS YOU HAVE SET.
• WHOLESALEBRIDGE IS NOT LIABLE FOR DOWNTIME, SERVICE INTERRUPTIONS, OR API FAILURES OF THIRD-PARTY PLATFORMS INCLUDING FAIRE.

8. Indemnification

You agree to indemnify, defend, and hold harmless WholesaleBridge LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights or terms of service; or (d) data you upload or transmit through the Service.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including Sections 6, 7, 8, and 10.

10. Governing Law

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Wisconsin, and you consent to the personal jurisdiction of such courts.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
